TOTAL VOTING RIGHTS AND CAPITAL
In accordance with the provisions of the Transparency Directive, Charter International plc ("Charter") confirms that on 30
April 2010 its issued share capital comprises 167,021,060 ordinary shares of 2 pence each. Each ordinary share carries the
right to one vote and all of the ordinary shares have equal voting rights. The total number of voting rights in Charter is
therefore 167,021,060.
None of the ordinary shares are held in treasury.
This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, the share capital of Charter under the FSA's
Disclosure and Transparency Rules.
